By accessing or using our website, requesting a demo, or engaging our services, you ("User", "Client", or "you") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable to IFZA Free Zone entities and, where applicable, the laws of the Emirate of Dubai.

Varaisys Dataworks provides enterprise AI and autonomous intelligence platforms, data engineering services, and related professional services, including but not limited to: - DetraCore: An on-premises AI operations platform for infrastructure incident detection, root cause analysis, and automated remediation. - FluxNode: An enterprise Apache Kafka 4.x streaming and data platform. - Professional Services: Data engineering, AI strategy, systems integration, and managed services. - Website and Marketing Materials: Informational content available at www.varaisys.ae. The specific scope, deliverables, timelines, and commercial terms for client engagements are governed by separate Master Services Agreements (MSAs), Statements of Work (SOWs), or other written agreements entered into between Varaisys and the client.

You agree to use this website only for lawful purposes and in accordance with these Terms. You must not: - Use the website in any way that violates applicable UAE laws, regulations, or international law. - Transmit any unsolicited or unauthorised advertising or promotional material. - Attempt to gain unauthorised access to any part of the website, server, or database. - Introduce viruses, malware, trojans, or any other malicious or harmful code. - Scrape, harvest, or systematically extract data from the website without our express written consent. - Impersonate any person or entity, or misrepresent your affiliation with any person or entity. - Use automated tools (bots, crawlers, scrapers) in a manner that places unreasonable load on our infrastructure. We reserve the right to terminate or restrict access to the website at our discretion and without notice for any breach of these Terms.

All content on this website, including but not limited to text, graphics, logos, icons, images, audio clips, platform documentation, and software, is the exclusive property of Varaisys Dataworks FZCO or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from this website for commercial purposes without our express prior written consent. The terms applicable to any professional services, platform licences, or product deployments provided by Varaisys to a client are set out in the relevant written agreement between Varaisys and that client (MSA, SOW, SaaS Agreement, or equivalent). In the event of any conflict between these Terms and the terms of a signed client agreement, the signed client agreement shall prevail with respect to the subject matter of that agreement. Enquiries submitted via this website, including demo requests and contact form submissions, do not constitute a binding order or contract. A binding engagement requires a written agreement signed by an authorised representative of Varaisys.

Where you access or evaluate any Varaisys platform (Detra Framework, FluxNode, or others) under a trial, proof-of-concept, or commercial licence, the following apply: Data Ownership: All data you provide to or process through our platforms remains your property at all times. Varaisys does not claim any ownership rights over client data. Data Processing: Varaisys processes client data solely for the purposes of delivering the contracted services. All platform deployments are on-premises or within your designated infrastructure. No client data is transmitted to Varaisys systems unless explicitly agreed in writing. No Data Egress: Our platforms are architected with zero data egress as a design principle. Audit logs, model outputs, and processed data remain within your infrastructure. Authorised Use: Platform access credentials must not be shared with unauthorised parties. You are responsible for all activity that occurs under your account.

Information shared with Varaisys in the context of a client engagement, demo request, or proof-of-concept evaluation may be considered confidential. We treat all client information with strict confidentiality and do not disclose it to third parties except as required to deliver the contracted services or as required by law. Detailed technical documentation, security reports, and platform specifications are provided to qualified prospects under a mutual Non-Disclosure Agreement (NDA). Please contact us to arrange an NDA before requesting access to confidential materials.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai and the IFZA Free Zone. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiations between the parties. If unresolved within 30 days, disputes shall be referred to and finally resolved by arbitration in Dubai under the rules of the Dubai International Arbitration Centre (DIAC), with proceedings conducted in the English language. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms. For material changes affecting active client agreements, we will provide reasonable prior notice.
